SpeakMyQuote by SafetyWhisper LLC

Terms of service

These business-to-business terms are between SafetyWhisper LLC (“we”) and the contractor or business using SpeakMyQuote (“you”). By creating an account or using the service for business you agree to them.

Service provider. SafetyWhisper LLC, registered in Texas, USA. Texas file number: 806348953. Registered business address: 11 Barnstable Place, Spring, Texas 77381, USA.

1. The service

SpeakMyQuote helps you turn text and voice-note transcripts into editable quotes and extra-work approvals, share secure links with customers, and track balances. It supports GBP and EUR; each job uses one currency and we do not convert between them. Free WhatsApp trials let you save up to three quote records and share a read-only PDF link. A customer who opens a trial link can accept it, and you may then show your own bank-transfer instructions.

2. Your responsibilities

  • AI output is a draft. You must check scope, quantities, materials, pricing, VAT or other tax treatment before sending.
  • You are responsible for obtaining customer consent (including before WhatsApp contact), your contract with each customer, and your own tax, VAT, invoicing, record-keeping and reporting. We are not an accountant, tax or legal adviser and do not report to tax authorities.
  • You must have the right to give us the personal data you enter and must not enter banking passwords, PINs or card details.

3. Payments and what we are not

Stripe is used only for your software subscription. We do not take, hold, escrow or initiate payments between you and your customers, and we do not collect homeowner bank details. Bank transfers go directly from the customer to you; a transfer is not marked paid until you confirm funds.

We are not a party to your contract with any customer and there is no building-contract privity between us and your customers. We do not guarantee workmanship, a customer’s solvency or willingness to pay, or that any payment will be made.

4. Subscriptions and cancellation

Paid plans are billed in GBP through Stripe and renew until cancelled. Subscription prices are shown on our site. You can cancel at any time from Settings (Manage or cancel subscription); cancellation takes effect at the end of the paid period unless the law gives you a different right. Free-trial and promotional plans end as stated when granted.

5. Availability, liability and disputes

The service is provided with reasonable care but without a guarantee of uninterrupted availability. Nothing limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence or for fraud. Subject to that, we are not liable for loss of profit, business or goodwill or indirect loss, and our total liability in any 12 months is limited to the subscription fees you paid us in that period. You are responsible for losses arising from the quotes you issue and the instructions you give.

If you contract from Northern Ireland or the UK, the law of Northern Ireland applies and its courts have jurisdiction. If you contract from Ireland or elsewhere in the EU, Irish law applies and Irish courts have jurisdiction. Mandatory consumer or local law is unaffected. Please contact george@safetywhisper.com first so we can try to resolve any dispute.

6. Data and termination

You keep ownership of your data and give us a licence to process it to provide the service. We may suspend an account for misuse or non-payment. On termination your data is deleted or returned as set out in the DPA, subject to legal retention.

7. Data Processing Addendum (Article 28 UK/EU GDPR)

Drafting base: Common Paper Data Processing Agreement Standard Terms v1.1 (commonpaper.com), licensed under CC BY 4.0. This addendum is adapted by SafetyWhisper LLC and is not an unchanged incorporation of that standard.

Parties and roles. You are the controller; SafetyWhisper LLC, identified in the service-provider details above, is your processor for customer and job personal data.

Subject matter, duration, purpose. Providing the quoting, approval, balance-tracking and messaging features, for as long as your account is active plus any return/deletion period.

Types of data and data subjects. Customer and homeowner names, phone numbers, site addresses, job details, transcripts, photos, quote, approval and payment-record data; data subjects are your customers and their representatives.

  • Instructions. We process only on your documented instructions (these terms and your use of the features), and will tell you if we think an instruction is unlawful.
  • Confidentiality. People authorised to process the data are bound by confidentiality.
  • Security. We apply technical and organisational measures proportionate to risk under Article 32, including TLS in transit and access controls. Provider-level controls (such as hosting encryption) depend on our providers’ controls.
  • Subprocessors. You give general authorisation for Meta, OpenAI (via Replit AI proxy), Replit, Clerk and Stripe (subscriptions only). We give 30 days’ notice of changes; you may object on reasonable data-protection grounds in that time, and if unresolved you may terminate the affected service. We flow down equivalent obligations and remain liable for subprocessors as provided in these terms.
  • Assistance. We help you respond to data-subject requests, report personal-data breaches without undue delay, and support data-protection impact assessments and consultations where relevant.
  • Deletion or return. On termination, we delete or return personal data on request, except where law requires retention (for example financial records), and keep minimum STOP suppression data.
  • Audits. We make available information needed to show compliance and allow reasonable audits on notice, preferably through documentation first.
  • International transfers. We must not make a restricted transfer of customer personal data outside the UK/EEA unless it is authorised under this DPA and satisfies the applicable Chapter V requirements, including an appropriate lawful transfer mechanism where required. Information about applicable arrangements is available on request.

Questions or notices under this addendum: george@safetywhisper.com.

8. Changes

We may update these terms; material changes will be notified in the service or by email before they apply to you.

This is legal drafting for the service and is not a guarantee of legal compliance. See the Privacy notice.
